I was asked by Zenescope to copy a cover Eric Basaldua did also from wonderland, copy everything just change the faces and costume. This was like a bonus project for me since I dont have to think about layouts , Although felt uneasy Its like stealing with consent

Eric did it as a work-for-hire so he doesn't own the picture and then the people who do own the image asked you, also as a work-for-hire, to copy and modify it. You're fine and don't have to feel guilty about anything.
