It's pre-Armada time, some centuries before our days. I guess that Starscream had suicidal wishes long before Armada, because Megatron constanly mocked of him and even tortured him. But Megatron needed him after all, appreciated him as good servant, so obstructed his attempts to suicide. It's both another sadistic act and act of caring.
The place is Decepticons base on Cybertron. As you may see, Megatron is not fully assembled here (without cannon and upper tracks). He was in repair room, performing some maintenance of his body, but when someone told him about what Starscream doing now, he'd very hurried to rescue him.
That energon sword was depicted in Superlink, but it seems that Megatron owned it long before. Then after this incident he hide it in his own body (using some molecular technology, I guess), because Starscream wanted to commit suicide exactly by his Master's sword, so Megatron prevented it by hiding this thing. Maybe Megatron was very angry by the time, but anyway, this decision was really noble. I think Starscream understand it and appreciated this caring, decided to not to die for some more time.

It's all my personal fanon, of course. Too small (compared to G1) amounts of prequel canon in the most of TF series have it's own prerogatives It give the big space for fan theories and stories about what was with the characters before the series.
