1) Bay didn't direct the new Turtles movie he only produced it. 2) I could only see this being rated R, especially considering the grizzly back story, freaky designs, violent acts of murder, and overall feel paranoia, isolation, and danger. PG-13 would feel watered down and restricting toward what they could do.
