This is such a good piece. Really. And I don't find them out of character! I think Kal-El could have his smexy site and that Bats in his deep Bruce emotions could be indeed a sensitive lover. 
But bla, I really enjoy this pic. It's soooo pretty and don't know why to lose any more words. *^*

My one minor crit is really a matter of personal taste; to me, their body language seems out of character, but since every artist and writer down through the decades has presented them a little differently, I suspect you and I just have a slightly different sense of both of then.
To me, both Superman and his Kal-El side are very straightforward, so this sideways/backward pose seems a bit too hesitant-or-sneaky. I'd expect him either to be facing Batman directly--hips as well as chest--or, if they'd been sitting side by side, to be turning the other direction toward him rather than this backward angle. (However, I agree your version makes a gorgeously complex composition line!)
And as a matter of pure personal opinion, Batman's loose-limbed hesitance seems a bit off to me because (especially _as_ Batman) Bruce's defense against emotional vulnerability is usually a cold, cutting hostility. So, from _my_ sense of Bruce, I'd expect him to be either playing Dangerous Stone Statue OR taking control of the situation with an air of dominance.
But you've drawn his uncertainty here so WELL--every line and detail of that body language is just *perfect*--that you're coming close to convincing me. So I'm persuading myself that this is the *second* phase, where Clark has already gotten through his initial hostility, etc. But, hmm, I only think _that_ would work if Clark's being straightforward and open with him, rather than either this turned pose or the smirk/leer. Oy.
ANYWAY. Sorry to be longwinded with what's really a minor crit. For everything *except* our different takes on characterization, this is just about damn well perfect. Amazing work!
