First of all Batman trained all his life so he can easily defeat Spawn. Goku was a kid fighting demons, He is an adult now so demons aren't a problem, plus he has fought enemies who can destroy planets and galaxies.

Spawn has no other weakenss that doesn't go against Bats' rule, Batman only won against Superman because A. it was non-canon, B. Superman was holding back, C. only by the skin of his teeth or D. all of thee above. Not to mention just because Sups is stronger, doesn't mean he can beat Spawn. Batman only faced those enemies with help from the League

(laughs sarcastically) Dark Knight Returns is an elseworlds story, it was non-canon and Sups was holding back, otherwise any time his helmet was off, Sups would've melted his face, not to mention Bats had help. Hush had Superman holding WAY back as he was fighting Ivy's mind control and in that story, Batman claimed he would break every bone in his hand if he punched Sups again. In both stories, Bats just made it out by the skin of his teeth.

Healing, Energy Blasts, Elemental Control, Alter Matter, Fly, he can make anything out of his cape, etc.
Not to shoot you down, I like Batman too, but Spawn's only weaknesses are Lack of Necroplasm, and being beheaded. Batman doesn't have any swords or knives, and batarangs don't have very large blades at the tips, so it's unlikely he'd lose a head to a batarang. It just seems Batman's chances of winning are really low. He has a chance mind you, but it's slim.

Batman has fought darkside and supeman. Both have punched him he still gets up and fights back. Batman has beaten Superman a couple of times. Superman would destroy Spawn. Spawn's biggest mistake would be sending Superman to the sun. Superman will het Spawn and rip him apart.
