Photoshop is my weak side..I never could learn those layers ..I was trying this tutorial but no luck..dont know how to make the first png image as my first layer

Ah! I should have covered that. What you need to do is change the Image -> Mode from Indexed to RGB. That will make it a normal background layer that you can unlock. Try that and let me know how it works.

I unlocked it last night.. I found the key..but another problem when you say overlay layer what does it means...I'm bothering you..my HELP in Photoshop wont work
..I'll try some online help about layers

If you look in your layer palette, there is a drop down showing the various blending modes. Overlay is one of those modes. Here's a tutorial that shows how to use the blending modes and opacity slider in the layers palette: [link] Hope that helps. Keep asking! That's how you learn.
