Description
Idea is mine, though based on the Tournament of Mortals.These two have met before in the comic book world, and but now it's time to settle old scores.
Spawn: Former government hitman, Spawn is a demonically empowered super-solider fighting the powers of heaven and hell alike. He has battled devils, and toppled gods. With magic limited only to his imagination, there are few who can match Spawn in battle.
Batman: Considered by some the Deus Ex Machina of the comic book world, Batman is none the less one of the most recognizable figures in Fictional History. While possessing no powers of his own, he often needs nothing more then his incredible mind and arsenal of gadgets to get the job done.
Now these two fearsome crime-fighters will take the battle to each other as they try to be the last man standing. Spawn brings his arsenal of magic to the table, while the Batman brings his keen mind and an impressive arsenal of gadgets. Both men are fighting to win, and neither are going to back down. In the end though, only one gets to walk away and become...
THE DEADLIEST MORTAL!
Finally, in a classic 'To the Victor Goes the Spoils', after you pick a winner, pick something for them to take from the loser. It may be something as simple as a piece of equipment, to something as complex as a power. I'm just curious what you all would say.

Batman can use Nth Metal weaponry, something he got from Hawkgirl and Hawkman.
This metal is 'anti-magic'. You can even kill a Chtlulu-like monster with an Nth weapon. And Batman has some weapons made of that material.

And how can that stop Spawn be setting him on fire, or drowning him. Or breaking his bones by sneaking out of the shadows?

Batman can avoid him until he can beat him up. After all, Batman has experience battling opponents that are physically much more powerful than him.

SpawnΒ can teleport, transform, blow things up, turn invisible, alter matter, talk to animals, fly with his cape, read minds, and open portals to Heaven and Hell. Not to mentionΒ he can control the elements, often using fire and water to defeat swarms of enemies.

And Batman had defeated alien warlords, cyborgs, monsters, demons... He even went to Hell once and helped Etrigan to defeat a high-level demon lord.

He had help. Plus half of them are gloaters that slip up.Β Spawn killed all sorts of powerful enemies - assassins, cyborgs, vampires, ghosts, Angels, Demons, other Hellspawn, rampaging deities, even Satan and God.

Batman is so good that he can defeat almost anyone without needing to kill them; if he decides to forget this rule, Spawn is done

Oh, so scary(!) Spawn reacted to being blown up via cyborg by turning him into car parts. Spawn has no such rule and will easily go for the kill.

That doesn't make him the instant winner. Batman always defeats guys who go for the instant kill.
That makes him Batman a superior hero; he's so good that he can DECIDE if he kills or not, while Spawn only thinks in killing.

Usually he has to pick a lock or cut through the chain. What I am saying is that Spawn's chains would wrap around Batman's arms then break them at the very least and rip them off at the very most

Yeah Spawn got his ass kicked, but he is alive (well alive as much as a Hell Spawn can get) while Batman was bleeding to death and his heart stopped.
Only reason Batman survived because Spawn decided to be rational (for once) and heal Bats.

The only things that can hurt Spawn are Holy Weapons forged in heaven and Necro Magic which Batman does not have and does not have the prep time to obtain. His only chance of winning this is staying alive long enough for Spawn to run out of Necroplasm.
